FullTable, Inc. — Referral Program Agreement

1. Introduction

This Referral Program Agreement ("Agreement") sets forth the terms and conditions governing participation in the FullTable Referral Program ("Program"). By participating in the Program, you ("Referrer," "you," or "your") agree to be bound by this Agreement and our Terms of Service.

2. Program Overview

The FullTable Referral Program allows existing customers with active, paid subscriptions to refer new customers to FullTable. When a referred customer ("Referee") successfully subscribes to a paid plan, both the Referrer and Referee receive rewards as described in this Agreement.

3. Eligibility

3.1 Referrer Eligibility

To participate as a Referrer, you must:

• Have an active, paid FullTable subscription in good standing
• Have a valid Stripe customer account associated with your FullTable account
• Comply with all terms of this Agreement and our Terms of Service

3.2 Referee Eligibility

For a referral to qualify for rewards, the Referee must:

• Be a new customer who has not previously had a FullTable account
• Sign up using a valid referral code or referral link
• Subscribe to a paid FullTable plan
• Complete the trial period and make their first payment (if applicable)
• Not be the same person or entity as the Referrer (self-referrals are prohibited)

4. Referral Rewards

4.1 Referee Reward

Qualified Referees receive one (1) month free of their FullTable subscription. This reward is applied as a 100% discount on the first paid billing cycle after any applicable trial period ends.

4.2 Referrer Reward

Qualified Referrers receive account credit equal to one (1) month of their current subscription plan value. This credit:

• Is added to your Stripe customer balance
• Will be automatically applied to future invoices
• May be accumulated from multiple referrals (rewards stack)
• Does not expire as long as your account remains active

4.3 Reward Values by Plan

Note: For annual subscribers, referrer credits are calculated based on the monthly equivalent value of your plan.

4.4 When Rewards Are Applied

Rewards are applied when both the Referrer and Referee:

1. Have active paid subscriptions
2. Have each completed at least two (2) months of paid subscription
3. Both accounts remain in good standing

Note: The 2-month requirement applies to both parties. If the Referrer is a new customer, their 2-month clock starts when they begin their paid subscription.

5. How to Participate

5.1 Obtaining Your Referral Code

Each eligible FullTable customer receives a unique referral code that can be found in your account dashboard under the Referral Program section.

5.2 Sharing Your Referral Code

You may share your referral code through:

• Direct communication with potential customers
• Personal social media accounts
• Email to contacts you have a personal relationship with
• Word-of-mouth

5.3 Prohibited Sharing Methods

You may NOT share your referral code through:

• Paid advertising (Google Ads, Facebook Ads, etc.)
• Spam or unsolicited bulk messages
• Coupon or deal websites
• Misleading or deceptive promotions
• Any method that violates applicable laws or our Terms of Service

6. Program Rules and Restrictions

6.1 Prohibited Conduct

The following activities are strictly prohibited and may result in disqualification from the Program:

• Self-referrals (referring yourself or accounts you control)
• Creating fake accounts to generate referrals
• Offering cash or other incentives beyond the Program rewards
• Using automated means to generate or distribute referral codes
• Misrepresenting FullTable's services or the Program terms
• Any fraudulent, deceptive, or illegal activity

6.2 Account Requirements

• Both Referrer and Referee accounts must remain in good standing
• Accounts must not violate FullTable's Terms of Service
• Referrer must maintain an active, paid subscription to receive rewards

6.3 Limitations

• There is no limit to the number of referrals you can make
• Referral credits can be accumulated without limit
• Each new customer can only be referred once
• Referral codes cannot be combined with other promotional offers unless explicitly stated

7. Verification and Approval

FullTable reserves the right to verify all referrals before issuing rewards. We may:

• Investigate suspicious referral activity
• Delay reward distribution pending verification
• Reject referrals that do not meet Program requirements
• Request additional information to verify eligibility

8. Modification and Termination

8.1 Program Changes

FullTable reserves the right to modify, suspend, or terminate the Program at any time, with or without notice. Changes may include:

• Adjusting reward amounts or types
• Modifying eligibility requirements
• Changing Program rules and restrictions

8.2 Effect of Termination

If the Program is terminated:

• Pending rewards for qualified referrals made before termination will be honored
• No new referrals will be accepted after termination
• Accumulated credits in your account remain valid

8.3 Individual Disqualification

FullTable may disqualify any participant from the Program for:

• Violation of this Agreement or Terms of Service
• Fraudulent or suspicious activity
• Abuse of the Program

9. Tax Responsibility

Referral rewards may be considered taxable income. You are solely responsible for:

• Determining any tax implications of rewards received
• Reporting and paying any applicable taxes
• Complying with all tax laws in your jurisdiction

FullTable does not provide tax advice and recommends consulting a tax professional.

10. Disclaimer of Warranties

THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. FULLTABLE MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE PROGRAM, INCLUDING BUT NOT LIMITED TO THE AVAILABILITY OF REWARDS OR THE CONTINUATION OF THE PROGRAM.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FULLTABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

FULLTABLE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE PROGRAM SHALL NOT EXCEED THE TOTAL VALUE OF REWARDS YOU HAVE RECEIVED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless FullTable, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your participation in the Program
• Your violation of this Agreement
• Your violation of any applicable laws or regulations
• Any claims made by Referees you have referred

13. Governing Law

This Agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any disputes arising from this Agreement shall be resolved through binding arbitration under the rules of the American Arbitration Association.

14. Relationship to Terms of Service

This Agreement is supplemental to and incorporated into FullTable's Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, the Terms of Service shall prevail, except with respect to matters specifically addressed in this Agreement.
