1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and FullTable, Inc. ("FullTable," "we," "our," or "us") regarding your use of our customer engagement and reputation management platform and related services.

By accessing or using our services, you agree to these Terms. If you do not agree, you may not use our services.

2. Description of Services

FullTable provides a comprehensive customer engagement and reputation management platform for local businesses, including:

  • Unified inbox for two-way SMS messaging with customers
  • Review management and response tools for Google and Facebook reviews
  • Web chat widget that converts to SMS conversations
  • SMS marketing campaigns with scheduling capabilities
  • Text-to-pay functionality via Stripe integration
  • AI-powered auto-reply for automated customer responses
  • Contact CRM with tags, notes, and customer database
  • Team collaboration tools with assignment and internal notes
  • Review analytics and reputation tracking
  • Competitor benchmarking and performance insights
  • Response templates for quick review replies
  • Digital catalog with QR code generation
  • Private feedback collection and analytics

We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.

3. Account Registration and Security

You must create an account to use our services and provide accurate, current, and complete information. You must be at least 18 years old to use our services, or if you are between 13 and 17 years old, you must have parental or guardian consent.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • Restricting access to your account
  • Immediately notifying us of unauthorized activity

You are responsible for all activities that occur under your account.

4. Subscription and Payment Terms

4.1 Pricing and Plans

Services are subscription-based starting at $29 per month per business location. This includes all features and unlimited team members at no additional cost.

4.2 Free Trial

New customers receive a 7-day free trial. A valid credit card is required to begin. You may cancel anytime during the trial without charge.

4.3 Billing

Payments are securely processed via Stripe and charged automatically each month. Fees are non-refundable except where required by law.

4.4 Cancellation

You may cancel at any time through your account settings. Cancellation takes effect at the end of your billing cycle.

5. SMS Communication and Consent

Our platform uses SMS messages to communicate with customers for service notifications, review requests, marketing campaigns, and customer support. Use of these messaging features requires full compliance with Twilio's Acceptable Use Policy, the Telephone Consumer Protection Act (TCPA), and CTIA Messaging Principles.

5.1 Customer Consent

  • You must obtain explicit, documented consent from each guest before sending any text message.
  • Consent cannot be implied from providing a phone number; it must be affirmative (e.g., verbal confirmation, digital checkbox, or written form).
  • You must retain opt-in records for at least three (3) years.

5.2 Message Content and Frequency

  • SMS messages may include operational notifications, review follow-ups, customer support responses, and marketing campaigns (with proper consent).
  • Marketing messages require explicit opt-in consent separate from transactional messaging.
  • Message frequency varies based on customer interactions and campaign settings.
  • All messages must comply with carrier guidelines and applicable regulations.

5.3 Opt-Out and Help

  • Each message will include clear instructions: "Reply STOP to cancel or HELP for assistance."
  • Opt-out requests must be honored immediately.
  • Your system must automatically respond to "STOP" and "HELP."

5.4 Recordkeeping and Compliance

  • You must retain message and consent logs for at least three (3) years.
  • FullTable reserves the right to audit compliance or suspend accounts violating SMS laws or carrier rules.

5.5 Liability

You are solely responsible for ensuring your use of SMS messaging complies with all applicable laws and carrier guidelines. You agree to indemnify and hold harmless FullTable for any fines, damages, or claims arising from unauthorized or non-compliant messaging.

6. Third-Party Integrations

Our platform integrates with third-party services including Google Business Profile and Facebook Business Pages to provide review management and other features.

You are responsible for:

  • Maintaining valid API credentials and authorizations for connected services
  • Complying with Google's and Meta's terms of service and policies
  • Ensuring you have the right to connect and manage the business accounts you link
  • Understanding that integration availability depends on third-party API availability

FullTable reserves the right to suspend or remove integrations if you violate third-party terms of service, if integrations are used in violation of these Terms, or if required by third-party service providers.

We are not responsible for the availability, accuracy, or functionality of third-party services. Integration features may be temporarily or permanently unavailable due to third-party service changes, API limitations, or policy violations.

7. Acceptable Use

You agree not to use our platform to:

  • Send spam or unsolicited messages
  • Violate laws or regulations
  • Infringe on others' rights
  • Disrupt or interfere with our systems
  • Reverse engineer or resell our platform
  • Compete directly with FullTable using our technology

8. Intellectual Property

All software, content, and features are owned by FullTable, Inc. and protected by intellectual property laws.

You retain ownership of your data. By using our platform, you grant us a limited license to process and analyze your data solely to operate and improve our services.

9. Privacy

Use of our services is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using our platform, you consent to those practices.

10. Disclaimers and Limitation of Liability

We make no warranties regarding uninterrupted service, error-free operation, or specific outcomes.

To the fullest extent allowed by law, FullTable is not liable for indirect, incidental, or consequential damages, including lost profits or data.

11. Indemnification

You agree to defend, indemnify, and hold harmless FullTable, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the platform, violation of these Terms, or non-compliance with SMS regulations.

12. Force Majeure

FullTable shall not be liable for any failure or delay in performance under these Terms that results from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, acts of God, or weather events
  • War, terrorism, civil unrest, or acts of government
  • Pandemics, epidemics, or public health emergencies
  • Third-party service failures (Google, Facebook, Twilio, Stripe, cloud providers)
  • Internet or telecommunications failures
  • Labor strikes or disputes
  • Cyberattacks or security breaches beyond our reasonable control

In the event of a force majeure, we will make reasonable efforts to notify you and resume performance as soon as practicable.

13. Termination

We may suspend or terminate access immediately for violations of these Terms.

Upon termination, your right to use the platform ceases immediately. We will retain your data as required by law or for legitimate business purposes.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.

14.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Atlanta, Georgia, unless both parties agree to a different location.

14.2 Class Action Waiver

You agree that disputes will be resolved individually and not as part of a class action, consolidated action, or representative proceeding.

14.3 Small Claims Exception

Notwithstanding the above, either party may bring claims in small claims court if the claims qualify and remain in that court.

15. Modifications

We may update these Terms periodically. The "Last Updated" date reflects the most recent revision. Continued use after updates constitutes acceptance.

16. Severability

If any provision is deemed invalid or unenforceable, the remaining provisions will continue in full effect.

SMS Terms & Conditions (Mobile Terms)

By opting in to receive text messages from FullTable, you agree to the following:

  • Program Description: FullTable sends service notifications, customer support messages, review follow-ups, and marketing communications (with consent) on behalf of participating businesses.
  • Opt-In: By providing your phone number to a participating business or through our system, you consent to receive automated service-related text messages. Marketing messages require separate explicit consent. Consent is not a condition of purchase.
  • Message Frequency: Varies depending on customer interactions, support needs, and campaign settings.
  • Opt-Out: Reply STOP to cancel. You will receive a confirmation message and no further messages (except for critical account-related communications).
  • Help: Reply HELP for assistance or contact the business directly.
  • Message & Data Rates: May apply based on your carrier plan.
  • Supported Carriers: All major U.S. carriers supported. Delivery may vary by carrier.
  • Privacy: See our Privacy Policy for details.
  • Compliance: This program follows the TCPA and CTIA guidelines.
